These Terms and Conditions (“Terms”) govern your access to and use of the website at nugetic.com and the discovery request form on it (the “Service”), operated by Nugetic LLC (“Nugetic,” “we,” “us,” or “our”). By using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
The Service lets you describe a business process and receive a proposed workflow outline after review. Submitting a request does not create a contract, service engagement, or obligation to purchase anything from Nugetic.
2. Eligibility and Accounts
You must be at least 18 years old and able to form a binding contract to use the Service. If you submit a request on behalf of a company, you confirm that you have authority to bind that company and to share its information.
3. Information You Provide
When you submit a request, you agree to provide accurate and complete information, including your name, company, work email, and phone number. You are responsible for any content you submit, and you must not include information you do not have the right to share, such as third-party personal data or confidential information belonging to someone else.
Please do not include passwords, API keys, bank details, government identification numbers, or other credentials in any request.
4. Proposed Workflows Are Not Final
Any diagram, summary, step list, or recommendation produced by the Service is a preliminary proposal based on the information you provided. It is not professional advice and is not a guarantee of results. Proposals may contain errors or assumptions, and they become final only if confirmed in a separate written agreement with Nugetic.
Nugetic does not connect to, access, or change your systems, accounts, or data through the Service. Any implementation work requires a separate written agreement that defines scope, responsibilities, and fees.
5. Automated Processing
The Service may use automated tools, including third-party artificial intelligence services, to help draft questions and proposals. Automated output may be inaccurate or incomplete. Nugetic reviews submissions before sharing any proposal with you, and you should independently verify any output before relying on it.
6. Acceptable Use
You agree not to:
- use the Service for any unlawful purpose or in violation of others’ rights;
- submit false, misleading, or abusive content, or impersonate another person or company;
- attempt to gain unauthorized access to the Service, its servers, or other users’ information;
- interfere with or disrupt the Service, including by overloading, scraping, or probing it;
- copy, modify, reverse engineer, or create derivative works from the Service, except as permitted by law.
7. Intellectual Property
The Service, including its text, design, logos, and underlying materials, is owned by Nugetic or its licensors and is protected by applicable intellectual property laws. Nugetic grants you a limited, non-exclusive, non-transferable right to use the Service for its intended purpose. All rights not expressly granted are reserved.
You retain ownership of the business information you submit. You grant Nugetic a non-exclusive license to use that information as needed to operate the Service, review your request, and respond to you.
8. Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect personal information submitted through the Service. Please review it before submitting a request.
9. Third-Party Links and Services
The Service may link to or rely on third-party websites, tools, or services. Nugetic does not control and is not responsible for third-party content, policies, or practices.
10. Disclaimers
The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Nugetic disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.
11. Limitation of Liability
To the fullest extent permitted by law, Nugetic and its owners, members, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or business opportunity, arising from or related to the Service. Nugetic’s total liability for any claim relating to the Service will not exceed one hundred U.S. dollars (US$100).
12. Indemnification
You agree to defend, indemnify, and hold harmless Nugetic and its owners, members, employees, and agents from any claims, damages, and expenses (including reasonable attorneys’ fees) arising from your misuse of the Service, your content, or your violation of these Terms or applicable law.
13. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms or if we need to protect the Service or other users. Sections that by their nature should survive termination will survive, including sections on intellectual property, disclaimers, limitation of liability, indemnification, and governing law.
14. Changes to These Terms
We may update these Terms from time to time. The updated version will be posted on this page with a new effective date. Your continued use of the Service after the effective date means you accept the updated Terms.
15. Governing Law and Disputes
These Terms are governed by the laws of the state in which Nugetic LLC is organized, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service will be resolved in the state or federal courts located in that state, and you consent to their personal jurisdiction.
16. General
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right or provision is not a waiver of that right or provision. These Terms, together with any separate written agreement between you and Nugetic, are the entire agreement between us regarding the Service.
